Terms of Service
The agreement between your school and us, in plain language. It covers what you get, what it costs, what happens if you leave, and what each side is responsible for — including the parts that are not in our favour.

Who this agreement is between
These terms govern the use of ShalaERP by a school, and form an agreement between that school and ShalaERP, a sole proprietorship run by Ankur Singhal and based in Jaipur, Rajasthan, India.
By setting up a school on the system, paying a subscription, or signing in and using it, the school accepts these terms. Where an individual accepts them on a school's behalf, they confirm they are authorised to do so.
What the subscription includes
- Every module of the software, with no feature held back for a higher edition.
- As many admin, teacher and accountant logins as the school needs, at no additional charge per user.
- The native Android app for staff, at no additional charge.
- Product updates as they are released.
- Support over WhatsApp, phone and email on working days.
- Setup at no additional charge — configuration, import of your existing students and staff from Excel, and a staff training session.
- There is no parent or student login. The software is for school staff only, and this is a deliberate design decision rather than a feature awaiting release.
Fees and how billing works
Pricing depends only on the number of students on the school's rolls, at the tiers published on our pricing page — currently Up to 300 students at ₹14,999 a year, 301 – 600 students at ₹24,999 a year, 601 – 1,000 students at ₹39,999 a year, 1,001 – 2,000 students at ₹69,999 a year, with schools above 2,000 students quoted individually. A subscription can be paid annually, or quarterly at a slightly higher total.
There is no setup or onboarding fee. Configuration, importing your existing students and staff, and staff training are part of the subscription.
If a school's student count grows past its tier during a term, the difference is settled at the next renewal rather than the day a student is enrolled. We do not re-price mid-term.
Fees are payable in advance for each term. Prices for future terms may change, and we will give at least 30 days' notice before a renewal at a new price, so a school can decide before it is committed.
Taxes
ShalaERP is a sole proprietorship that is not currently registered for GST, so no GST is charged and the published price is the full amount payable.
Should GST registration become applicable to us, taxes will be charged as the law requires, and we will give notice before that takes effect.
Renewal, cancellation and refunds
A subscription continues from one term to the next unless the school tells us before the current term ends that it does not wish to continue. There is no lock-in beyond the term already paid for.
Fees already paid for a term in progress are not refunded. A school that cancels keeps access until the end of the term it has paid for, and is simply not billed again.
This is why quarterly billing exists: a school unsure about committing for a full session can start with a quarter instead.
If an invoice goes unpaid
We will remind you before doing anything disruptive. If a renewal remains unpaid after reminders, access may be suspended until payment is made.
Suspension is not deletion. A suspended school's data is retained and becomes available again on payment, and we will not delete records over an unpaid invoice without telling you first and giving you a chance to export them.
What the school is responsible for
- The accuracy of the data its staff enter. The software cannot know that a date of birth was mistyped.
- Having a lawful basis for the personal data it records, including consent from parents or guardians for children's data, as described in our privacy policy.
- Keeping login credentials secure, and not sharing one account between several people. There is no per-user charge, so there is no reason to share an account.
- Telling us, or deactivating the account itself, when a staff member leaves, so their access ends when their employment does.
- Giving us an accurate student count at renewal.
- Deciding which staff member gets which role, and therefore who can see fees, payroll and student records.
The school's data belongs to the school
A school's records are its own property. We claim no ownership of them and act only on the school's instructions.
Data can be exported to Excel or CSV at any time, without asking us. If a subscription ends, the school has 30 days to export whatever it needs before the data is deleted.
We will never hold a school's data hostage in a commercial dispute.
Acceptable use
- Do not attempt to reach another school's data, or to probe or bypass the isolation between schools.
- Do not attempt to reverse-engineer, copy or resell the software.
- Do not upload unlawful content, malware, or material the school has no right to hold.
- Do not use the software to send unsolicited bulk messaging.
Availability and support
We work to keep the service available and running well, and it is hosted on infrastructure built for that. We do not, however, promise a specific uptime percentage, and we would rather say so than publish a number we cannot stand behind.
Planned maintenance is scheduled outside school hours wherever possible.
Support is provided over WhatsApp, phone and email on working days, and we usually reply the same day. It is not a 24-hour service.
Limits of our responsibility
The software is provided as it is, with the capabilities described on this website and nothing implied beyond them.
We are not responsible for decisions a school makes from reports the software produces, nor for the consequences of inaccurate data entered by its staff.
ShalaERP records fee payments; it is not a payment gateway and does not move, hold or settle money. It also does not compute GST or tax on fees, and nothing in it is accounting, tax or legal advice.
We are not liable for indirect or consequential losses, including lost revenue or reputational harm. Our total liability for any claim is limited to the fees the school paid in the twelve months before the claim arose.
Nothing here limits liability that cannot lawfully be limited.
Suspension or termination by us
We may suspend or end access if these terms are seriously breached — an attempt to reach another school's data, for example — or if fees remain unpaid after reminders. Where it is practical to give notice first, we will.
On termination for any reason, the export window above still applies. We do not delete a school's data as a punishment.
Changes to the software and these terms
The software will keep changing, and features will be added, improved and occasionally reorganised. We will not remove a module a school depends on without telling it first.
If these terms change, the date at the top of this page changes with them, and we will email school admins about anything material rather than expect them to re-read the page.
Governing law
This agreement is governed by the laws of India, and the courts at Jaipur, Rajasthan have jurisdiction over any dispute arising from it.
